Terms and Conditions

The agreement between your organization and ShiftPanda. We have kept it as short and readable as a contract can reasonably be.

Last updated Aug 13, 2026Applies to everyone using ShiftPanda

The Short Version

Organizations Own the Data

Your organization owns its passdowns, areas, and Crew Members. Admins control who gets in.

Simple Billing

30-day trial, then $9 per seat per month. Cancel any time.

Read-Only, Never Deleted

If billing lapses, your existing records stay readable. Nothing is erased.

Not a Safety System

ShiftPanda records passdowns. It does not replace your safety controls.

This summary is for orientation only. The numbered sections below are the binding text.

1.Agreement to These Terms

These Terms and Conditions (the “Terms”) are a binding agreement between ShiftPanda (“we”, “us”) and the organization and individuals using the ShiftPanda service (“you”). By creating an account, accepting an invitation, or using the service, you agree to these Terms.

If you are accepting these Terms on behalf of a company or other organization, you confirm you have the authority to bind that organization, and “you” refers to that organization.

If you do not agree to these Terms, do not use the service. Our handling of personal information is described in the Privacy Policy, which forms part of this agreement.

2.What ShiftPanda Is

ShiftPanda is a web application for recording and reading shift passdowns. It lets a team capture equipment status, open issues, safety notes, production notes, and action items at the end of a shift, and lets the incoming shift read them.

The service is delivered over the internet. We may add, change, or remove features as the product develops. We will not remove a feature you rely on in a way that materially degrades the service during a paid period without giving you notice.

3.Accounts and Organizations

The first person to register creates an organization and becomes its Admin. Everyone else joins through an invitation issued by that organization. In the current version, a user account belongs to exactly one organization.

  • You must provide accurate registration information and keep it current.
  • You are responsible for keeping your password confidential and for all activity under your account.
  • You must be old enough to enter a binding contract in your jurisdiction, and at least 16 years old.
  • Invitation links are single-use, expiring, and bound to one organization and email address. Do not forward them.
  • Tell us promptly if you believe an account or invitation link has been compromised.

4.Roles and Administrator Authority

The service has three roles: Admin, Shift Supervisor, and Crew. Permissions are enforced by the server, not merely hidden in the interface.

Admins control the organization, including invitations, roles, areas, shifts, settings, billing, and Crew Member access. If you join an organization created by someone else, that organization’s Admins control your access to it and can see the passdowns you write in it.

Work Accounts Are Visible to Your Organization

Passdowns are a workplace record. Content you enter, and the fact that you entered it, is visible to other Crew Members of your organization and to its Admins. Do not use passdown fields for private personal information.

5.Acceptable Use

You agree not to:

  • Use the service for anything unlawful, or to store content that is unlawful, harassing, defamatory, or infringing.
  • Upload malware, or content you do not have the right to share.
  • Attempt to access another organization's data, or probe, scan, or test the security of the service without our written permission.
  • Circumvent seat limits, access controls, rate limits, or billing.
  • Resell, sublicense, or provide the service to third parties as your own product.
  • Scrape or bulk-extract data by automated means outside the documented API and your own organization's data.
  • Interfere with service availability for other customers.

We may investigate suspected violations and take proportionate action, including suspension.

6.Your Content

You keep all ownership of the content your organization puts into the service — passdown text, area and equipment names, attachments, and settings (“Customer Data”). We claim no ownership over it.

You grant us a limited license to host, store, transmit, back up, and display Customer Data solely to provide and support the service, and to comply with the law. We do not use Customer Data to train machine-learning models, and we do not sell it.

You are responsible for the accuracy and legality of Customer Data, and for having the rights and consents needed to put it into the service, including any photographs of people or workplaces.

7.Trial, Subscription, and Billing

Every new organization starts a 30-day trial when it is created. The trial requires no payment method and does not renew automatically into a paid plan.

  • Paid access costs $9 per seat per month, billed in advance through Stripe.
  • A seat is prepaid capacity, not a headcount snapshot. You choose how many seats to buy, and you cannot set capacity below your current number of active Crew Members.
  • Adding seats mid-cycle is prorated by Stripe. Removing seats takes effect from the next billing period.
  • Charges are exclusive of taxes. You are responsible for any applicable sales, use, VAT, or similar taxes.
  • You can cancel at any time. Cancellation stops future renewals; it does not refund the current period.
  • Fees already paid are non-refundable except where required by law.

Payments are handled by Stripe. We never receive or store your full card number. Your use of Stripe’s checkout and billing portal is also governed by Stripe’s own terms.

8.What Happens When Access Lapses

If your trial ends without an active subscription, or a subscription lapses after its paid period, your organization moves to read-only mode.

Read-Only Means Readable, Not Deleted

In read-only mode, Crew Members can still sign in and read every existing passdown. New passdowns, edits, invitations, and configuration changes are blocked until billing is active again. Activating a subscription restores full access immediately.

We will not delete your organization’s data because of non-payment alone. Deletion only happens as described in section 13 or when you ask for it.

9.Availability, Changes, and Support

We aim to keep the service available continuously, but we do not offer a contractual uptime guarantee at this stage of the product. Planned maintenance is scheduled outside peak hours where practical.

Support is provided by email at support@getshiftpanda.com. We respond during business days and do not offer 24/7 emergency support.

10.Security

We use industry-standard measures to protect the service, including encrypted transport (HTTPS), hashed passwords, HttpOnly session cookies, CSRF protection, strict cross-origin rules, per-organization data scoping on every query, and authorization checks on every attachment download.

No system is perfectly secure. You are responsible for your own account hygiene, device security, and for removing Crew Members who leave your organization.

11.Third-Party Services

The service depends on third-party providers for payments, email delivery, network protection, and hosting. These providers are listed in the Privacy Policy. We select them carefully, but we are not responsible for outages or failures originating entirely within a third-party provider.

12.Our Intellectual Property

The service itself — its software, design, branding, and documentation — belongs to us and our licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, and nothing more.

You may not copy, modify, reverse-engineer, or create derivative works from the service, except where that restriction is prohibited by law.

If you send us feedback or suggestions, we may use them freely without obligation to you.

13.Operational and Safety Disclaimer

ShiftPanda Is a Record, Not a Control System

ShiftPanda is a communication and record-keeping tool. It is not a safety instrumented system, an alarm system, a maintenance management system, or a regulatory compliance system, and it must not be relied on as one.

Do not use ShiftPanda to report emergencies, to trigger safety responses, or as your sole record where law or regulation requires a specific form of record. Keep your existing safety procedures, lockout/tagout controls, incident reporting, and statutory record-keeping in place.

You remain solely responsible for the operational and safety decisions your team makes, whether or not they were informed by information in the service.

14.Suspension and Termination

You may stop using the service at any time and can ask us to delete your organization and its data by writing to support@getshiftpanda.com from an Admin account.

We may suspend or terminate access if you materially breach these Terms, if your use threatens the security or stability of the service, or if we are required to by law. Other than for serious or unlawful conduct, we will give you notice and a reasonable chance to fix the problem first.

On termination, we will make Customer Data available for export for 30 days, after which it is deleted from active systems, with backups aging out on their normal cycle.

15.Disclaimers

Except where the law does not allow it, the service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free, or that data will never be lost. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

16.Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost production, or lost data, even if advised such damages were possible.

Our total aggregate liability arising out of or relating to the service is limited to the greater of (a) the fees you paid us in the twelve months before the event giving rise to the claim, or (b) fifty US dollars.

These limits apply regardless of the legal theory and survive termination. They do not apply to liability that cannot lawfully be limited.

17.Indemnity

You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the service in breach of these Terms, or your violation of law or of a third party’s rights. We will notify you promptly of any such claim and let you control the defense, provided any settlement that imposes obligations on us needs our consent.

18.Changes to These Terms

We may update these Terms as the product and the law change. When a change is material, we will give notice by email to organization Admins or in the application at least 14 days before it takes effect. The “last updated” date at the top of this page always reflects the current version. Continuing to use the service after a change takes effect means you accept the updated Terms; if you do not accept them, cancel before the effective date.

19.Governing Law and General Terms

These Terms are governed by the laws of the applicable jurisdiction, without regard to conflict of law rules, and the courts of the applicable jurisdiction have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any competent court. Nothing here removes mandatory consumer protections available to you locally.

  • If any provision is held unenforceable, the rest stays in force.
  • Failing to enforce a provision is not a waiver of it.
  • You may not assign these Terms without our consent. We may assign them to a successor in a merger or sale of assets.
  • These Terms, with the Privacy Policy, are the entire agreement between us about the service.
  • Neither party is liable for delays caused by events beyond its reasonable control.
